1. Who we are
Quotio is operated by Process Systems, based in the United Kingdom (the "Seller", "we", "us"). By creating an account or using Quotio (the "Service"), you agree to these Terms.
2. Acceptance
Continued use of the Service means you accept these Terms. If you do not agree, stop using Quotio. If you are using Quotio on behalf of an organisation, you confirm that you have authority to bind that organisation. If you are using Quotio as an individual, you confirm that you are of legal age to enter a contract.
3. The Service
Quotio helps sole traders and small businesses create, send and manage quotes and invoices, with optional AI-drafted content and automated follow-ups. Features may change from time to time as the Service evolves.
4. Your account
You are responsible for keeping your login credentials confidential and for all activity under your account. You must provide accurate information and keep it up to date.
5. Acceptable use
You must not misuse the Service. In particular, you must not:
- Use it for anything unlawful, fraudulent, deceptive or misleading.
- Send spam or unsolicited messages to third parties.
- Infringe anyone's intellectual property or privacy rights.
- Interfere with the security or integrity of the Service, including probing, scraping, or introducing malware.
- Reverse engineer, resell, or circumvent technical limits of the Service.
6. Intellectual property
The Service, including its software, design, and branding, is owned by Process Systems and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable right to use the Service in line with your plan. You retain ownership of the content you put into Quotio (e.g. quote text, client details); you grant us a limited licence to host and process it purely to provide the Service to you.
7. Payments, subscriptions and taxes
Paid plans are billed on a recurring monthly basis at the price shown at checkout. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service enquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. You can cancel your subscription at any time; access continues until the end of the current billing period.
8. Service availability
We work hard to keep Quotio available and reliable, but we do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
9. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, fail to pay, create a security or fraud risk, or repeatedly or seriously violate our policies. On termination, your right to use the Service ends; we will make reasonable efforts to let you export your data before deletion.
10. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the Service is capped at the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence.
11. Your indemnity
You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
12. Governing law
These Terms are governed by the laws of England and Wales, and disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes
We may update these Terms from time to time. We will post the updated version here and, where changes are material, notify you by email or in-app.
